MY VIEW: SBA DEC 5TH LETTER The key detail isn’t what SBA asked for — it’s who asked for it. This audit was expected from GCBD, the group responsible for certification and eligibility. Instead, it came from SBA’s Office of General Counsel. That’s a seismic shift: this is now a legal and compliance investigation, not an administrative refresh. By shifting the audit to SBA Legal, SBA can look far beyond whether firms filed the right paperwork to get 8(a) certified. They can analyze contract execution, where most fraud occurs, and trace how money, control, and influence move between partners — including patterns involving PMs, KOs, BOSs, and others. In short, they’re looking for tails that wag the dog: money flowing indirectly to parties who couldn’t receive it directly under the rules. If this sounds foreign to you, you’re probably fine. If it hits close to home — slow down, re-examine your documents, and make sure the story they tell still supports 8(a) ownership, control, and eligibility. What should you do now? Make sure every document you submit aligns with your original certification and tells a consistent, defensible story of control, finances, workshare, and performance. If SBA finds inconsistencies, the consequences are not gentle: suspension, debarment, and referral to the U.S. Attorney (who operates independently of SBA and their timelines). Practical guidance: 1. File on time. Miss the deadline and you're out. 2. Ensure your documents support ownership, control, and continued eligibility. 3. Verify your teaming agreements comply with limitations on subcontracting and actual workshare. 4. Confirm your performance documentation matches what you proposed — and what you certified. 5. BE THOROUGH. The burden of compliance is on you; SBA can draw negative inferences from gaps in information and evidence. Why SBA asked for these documents — and what they reveal: • Tax returns & bank records: hidden financing, owners who outgrew eligibility, pass-through behavior, loans or capital from teaming partners, excessive withdrawals. • Operating agreements & amendments: control that only looks compliant; negative control situations. • MP/JV agreements: who really controls the relationship at award and execution; who has access to the Agency KO/PM. • Contracts, invoices & payroll: subcontracting beyond limits, large-business dominance, ghost or shared employees, overlapping compensation across entities. • Org charts, leases & shared services: undisclosed affiliations or operational dependence. Multiple roles for 1 person. • Tribal/ANC/NHO benefit documentation: amount of benefits going to native shareholders — not just to the subsidiary and its executives. • Totality of the circumstances: broad authority SBA can use to find and disqualify firms. Today, the SBA issued letters to every 8(a) Program participant requiring the production of a wide range of financial documents. From the SBA’s press release: “All 4,300 8(a) participants are mandated to provide financial documents for the last three fiscal years, including bank statements, financial statements, general ledgers, payroll registers, contracting and subcontracting agreements, and employment records. Firms that fail to comply by January 5, 2025 may lose their eligibility to participate in the 8(a) Program and could face further investigative or remedial actions.” https://lnkd.in/ggryb4xZ
